Terms of Service

1. Agreement to Terms
By accessing or using the TradeNet platform ("Platform"), including the website, mobile applications, and all related services provided by TradeNet Pty Ltd (ABN to be registered) ("TradeNet", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.
These Terms constitute a legally binding agreement between you and TradeNet. We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform with a revised "Last updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.
2. Definitions
In these Terms, the following definitions apply:
- "Builder" means a registered user who posts construction projects, jobs, or work opportunities on the Platform.
- "Contractor" means a registered user who offers trade or construction services through the Platform, including but not limited to subcontractors, tradespeople, and specialist crews.
- "User" means any person who accesses or uses the Platform, whether as a Builder, Contractor, or visitor.
- "Job" means any construction project, work opportunity, or service request posted on the Platform.
- "Bid" means a quote, proposal, or expression of interest submitted by a Contractor in response to a Job.
- "Connection" means any introduction, referral, or matching between a Builder and a Contractor facilitated through the Platform.
- "Platform Fee" means any subscription, commission, or service fee charged by TradeNet as published on the Platform from time to time.
3. Eligibility and Registration
3.1 Eligibility
To use the Platform, you must be at least 18 years of age, have the legal capacity to enter into a binding agreement, and, where applicable, hold all necessary licences, permits, and insurance required to perform construction or trade work in your state or territory of Australia.
3.2 Account Registration
You must create an account to access certain features of the Platform. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 Contractor Verification
Contractors may be required to provide proof of identity, Australian Business Number (ABN), relevant trade licences, certificates of insurance (including public liability and workers' compensation where applicable), and any other documentation we reasonably request. TradeNet reserves the right to verify, approve, suspend, or reject any Contractor registration at its sole discretion.
4. Use of the Platform
4.1 Permitted Use
The Platform is provided to facilitate connections between Builders and Contractors for legitimate construction and trade work in Australia. You agree to use the Platform only for its intended purpose and in compliance with all applicable laws, regulations, and industry standards.
4.2 Prohibited Conduct
You must not:
- Provide false, misleading, or inaccurate information in your profile, job listings, bids, or communications.
- Use the Platform to engage in any unlawful, fraudulent, or deceptive activity.
- Harass, abuse, threaten, or intimidate other Users.
- Attempt to circumvent, disable, or interfere with the Platform's security features or technical measures.
- Scrape, harvest, or collect data from the Platform using automated means without our prior written consent.
- Use the Platform to advertise or promote services unrelated to construction or trade work.
- Create multiple accounts for the purpose of manipulating ratings, reviews, or search rankings.
- Post fake reviews or ratings, or solicit others to do so.
- Engage in bid manipulation, price fixing, or any form of anti-competitive behaviour.
5. No Circumvention / No Poaching Clause
This clause is a material term of these Terms of Service. By using the Platform, you expressly agree to the following obligations:
5.1 Non-Circumvention
Where a Builder and a Contractor are introduced, matched, or connected through the Platform ("Platform Connection"), neither party shall, directly or indirectly, circumvent the Platform to avoid paying applicable Platform Fees or to deprive TradeNet of its rightful compensation. This obligation applies for a period of 24 months from the date of the initial Platform Connection.
5.2 No Off-Platform Transactions
For any Builder-Contractor relationship that originated through the Platform, all subsequent work, jobs, projects, and transactions between those parties must be conducted through the Platform for the duration of the Non-Circumvention Period (24 months). This includes, but is not limited to:
- New jobs or projects between the same Builder and Contractor.
- Repeat work, rebookings, or ongoing arrangements.
- Referrals of the connected Contractor to the Builder's associates, partners, or related entities.
- Any arrangement where the Builder engages the Contractor (or the Contractor's employees, subcontractors, or related entities) for work that would otherwise have been posted on the Platform.
5.3 No Poaching
Users must not solicit, recruit, or attempt to engage Contractors or Builders away from the Platform for the purpose of avoiding Platform Fees or conducting transactions outside the Platform. Specifically:
- Builders must not request or encourage a Contractor met through TradeNet to work directly for them outside the Platform, whether for the same project or future projects, during the Non-Circumvention Period.
- Contractors must not solicit or encourage a Builder met through TradeNet to engage them directly outside the Platform during the Non-Circumvention Period.
- Neither party shall share contact details (phone numbers, email addresses, business addresses, or social media profiles) for the purpose of arranging work outside the Platform during the Non-Circumvention Period, except where such communication is conducted through the Platform's built-in messaging system.
5.4 Exceptions
This clause does not apply where:
- The Builder and Contractor had a pre-existing, documented business relationship before either party registered on the Platform. The burden of proof lies with the party claiming the pre-existing relationship.
- The Non-Circumvention Period of 24 months has expired.
- TradeNet has provided prior written consent for the off-platform arrangement.
5.5 Remedies for Breach
If TradeNet reasonably determines that a User has breached this clause, TradeNet may, at its sole discretion and without limiting any other rights or remedies available at law:
- Issue a written warning to the offending User.
- Suspend or permanently terminate the User's account.
- Invoice the offending User for the Platform Fees that would have been payable had the transaction been conducted through the Platform, calculated at the standard rate applicable at the time of the breach.
- Charge a circumvention fee equal to 15% of the total value of the off-platform transaction(s), or $2,500 (whichever is greater), as liquidated damages representing a genuine pre-estimate of the loss suffered by TradeNet.
- Remove the User's reviews, ratings, and profile from the Platform.
- Pursue any other legal remedies available under Australian law, including injunctive relief.
5.6 Monitoring and Enforcement
TradeNet reserves the right to monitor Platform activity, communications, and transaction patterns to detect potential circumvention. Users acknowledge and consent to such monitoring. TradeNet may request documentation or information from Users to investigate suspected breaches. Failure to cooperate with a reasonable investigation may be treated as a breach of these Terms.
6. Fees and Payment
6.1 Platform Fees
TradeNet may charge fees for the use of certain Platform features, including but not limited to subscription fees, listing fees, and transaction fees. All applicable fees will be clearly displayed on the Platform before you incur them. TradeNet reserves the right to modify its fee structure at any time, with reasonable notice provided to affected Users.
6.2 Payment Terms
All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated. Fees are non-refundable unless otherwise specified in these Terms or required by Australian Consumer Law. Payment must be made using the payment methods accepted on the Platform.
6.3 Taxes
You are responsible for all taxes, duties, and government charges applicable to your use of the Platform and any transactions conducted through it. Contractors are responsible for their own tax obligations, including GST, income tax, and superannuation.
7. Job Listings and Bids
7.1 Job Listings
Builders are responsible for ensuring that all Job listings are accurate, complete, and comply with applicable laws and regulations. Job listings must include a clear description of the work required, the location, the expected timeline, and the estimated budget where applicable.
7.2 Bids and Quotes
Contractors are responsible for ensuring that all Bids are accurate and reflect the true cost of the work. Bids submitted through the Platform are binding offers unless otherwise specified. TradeNet does not guarantee that any Bid will be accepted.
7.3 No Guarantee of Work
TradeNet does not guarantee that Builders will receive Bids on their Jobs, that Contractors will receive Jobs, or that any transaction will be completed. TradeNet is a platform that facilitates connections — the decision to engage a Contractor or accept a Job is solely between the Builder and Contractor.
8. Reviews and Ratings
Users may leave reviews and ratings for other Users after a Job is completed. Reviews must be honest, accurate, and based on genuine experience. TradeNet reserves the right to remove reviews that are false, defamatory, abusive, or that violate these Terms. Users must not offer incentives (monetary or otherwise) in exchange for positive reviews, or threaten negative reviews to obtain concessions.
9. Intellectual Property
9.1 TradeNet IP
All intellectual property rights in the Platform, including but not limited to the software, design, logos, trademarks, and content created by TradeNet, are owned by or licensed to TradeNet. You must not reproduce, modify, distribute, or create derivative works from any TradeNet intellectual property without our prior written consent.
9.2 User Content
You retain ownership of any content you submit to the Platform (including profile information, photos, reviews, and job descriptions). By submitting content, you grant TradeNet a non-exclusive, worldwide, royalty-free, transferable licence to use, reproduce, modify, display, and distribute your content in connection with the operation and promotion of the Platform.
10. Privacy
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store, and disclose your personal information. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.
11. Disclaimers and Limitation of Liability
11.1 Platform "As Is"
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, TradeNet disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
11.2 No Liability for User Conduct
TradeNet is not a party to any agreement between Builders and Contractors. We do not employ, endorse, or guarantee any Contractor. TradeNet is not responsible for the quality, safety, legality, or timeliness of any work performed by Contractors, or for any disputes between Users. Users engage each other at their own risk.
11.3 Limitation of Liability
To the maximum extent permitted by Australian law (including the Australian Consumer Law), TradeNet's total liability to you for any claim arising out of or in connection with these Terms or your use of the Platform is limited to the total fees paid by you to TradeNet in the 12 months preceding the claim. TradeNet is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
12. Indemnification
You agree to indemnify, defend, and hold harmless TradeNet, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) any dispute between you and another User; or (e) any content you submit to the Platform.
13. Termination
13.1 Termination by You
You may close your account at any time by contacting us or using the account settings on the Platform. Closing your account does not release you from any obligations incurred before termination, including the Non-Circumvention obligations in Section 5, which survive termination.
13.2 Termination by TradeNet
TradeNet may suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, breach of these Terms, fraudulent activity, failure to pay fees, or conduct that is harmful to other Users or the Platform.
13.3 Effect of Termination
Upon termination, your right to use the Platform ceases immediately. Sections 5 (No Circumvention / No Poaching), 9 (Intellectual Property), 11 (Disclaimers and Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) survive termination.
14. Dispute Resolution
14.1 Between Users
TradeNet encourages Users to resolve disputes directly through the Platform's messaging system. If a dispute cannot be resolved directly, TradeNet may, at its discretion, offer mediation assistance. TradeNet is not obligated to resolve disputes between Users and is not liable for the outcome of any dispute.
14.2 Between You and TradeNet
Any dispute arising out of or in connection with these Terms must first be submitted to mediation in accordance with the Resolution Institute Mediation Rules. If the dispute is not resolved within 30 days of the mediation commencing, either party may commence legal proceedings.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of Queensland, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of Queensland and any courts of appeal from them.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TradeNet regarding your use of the Platform.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed from these Terms, and the remaining provisions will continue in full force and effect.
16.3 Waiver
TradeNet's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without TradeNet's prior written consent. TradeNet may assign its rights and obligations under these Terms without restriction.
